Rubrix Co-grader End User License Agreement and Terms of Use

These Terms of Use are the End User License Agreement ("EULA") for Rubrix Co-grader. They are a binding agreement between you and Rubrix AI ("Rubrix," "we," or "us") governing your installation of and access to the Rubrix Co-grader Microsoft Word add-in, rubrixai.io, and related account, support, and subscription services (collectively, the "Services").

By installing, accessing, or using Co-grader, you agree to these Terms. If you use the Services for a school, institution, or other organization, you represent that you have authority to accept these Terms for that organization. If you do not agree, do not install or use the Services.

License to use Co-grader

Subject to these Terms and any applicable plan limits, Rubrix grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use Co-grader for your internal educational or professional purposes. Rubrix and its licensors retain all rights not expressly granted.

Accounts and access

You must provide accurate account information, keep your sign-in credentials secure, and promptly notify us of unauthorized use. You are responsible for activity under your account. Co-grader accounts are intended for educators and other authorized adult users, not direct use by children under 13.

Educator responsibility and AI output

Co-grader is an assistive tool. Grades, comments, writing feedback, AI-content results, plagiarism results, and other outputs may be incomplete, inaccurate, or inappropriate for a particular student or assignment. Detection results are indicators, not proof of misconduct. You must independently review the source document, rubric, and output before making or communicating a grading, disciplinary, academic-integrity, or educational decision.

You remain solely responsible for the final grade, the feedback delivered to a student, compliance with institutional policy and applicable law, and any decision to insert, edit, accept, reject, or remove generated material.

Your content

As between you and Rubrix, you or the applicable student, educator, or institution retain ownership of documents, rubrics, graded examples, comments, and other material you submit or process through the Services ("User Content"). You grant Rubrix a limited license to host, transmit, reproduce, and process User Content only as reasonably needed to provide, secure, troubleshoot, and support the features you request.

You represent that you have all rights, permissions, and lawful authority needed to process User Content through Co-grader. You are responsible for minimizing unnecessary personal information and for satisfying any educational-record, privacy, consent, confidentiality, and data-security requirements that apply to you or your institution.

Plans, usage limits, and payments

Features and word allowances vary by plan. Rubrix may stop or limit a request when an account reaches its grading, output, AI-checking, plagiarism-checking, or other usage limit. If you purchase a paid plan, the price, billing interval, renewal terms, and applicable taxes shown at checkout are part of these Terms. Payments may be processed by a third-party payment provider. Cancellation and refund rights are governed by the terms presented at purchase and applicable law.

Acceptable use

You may not:

  • Use the Services in violation of law, institutional policy, or another person's rights.
  • Submit content you do not have authority to process.
  • Use an output as the sole basis for a high-impact or disciplinary decision.
  • Attempt to bypass account, security, billing, or usage controls.
  • Probe, disrupt, reverse engineer, or gain unauthorized access to the Services, except where law expressly permits.
  • Introduce malicious code, scrape the Services, or use automated access that we have not authorized.
  • Resell, sublicense, copy, or create a competing service from Co-grader or its non-public components.
  • Misrepresent AI-generated output as independently verified fact.

Privacy

The Rubrix AI Privacy Policy explains how Co-grader handles document content, uploaded rubrics, generated comments, account information, and service data. It is incorporated into these Terms.

Third-party services and Microsoft

Co-grader interoperates with Microsoft Word and uses third-party services for authentication, hosting, AI processing, detection, payment, and related functions. Those services may be subject to their own terms and privacy notices. Microsoft is not a party to this EULA, does not license Co-grader to you, and is not responsible for Co-grader or Rubrix's support obligations. Your use of Microsoft products remains governed by your agreement with Microsoft.

Ownership and feedback

Co-grader, the Rubrix website, software, designs, names, logos, documentation, and other Rubrix materials are owned by Rubrix or its licensors and protected by intellectual property law. If you voluntarily send product suggestions, you allow Rubrix to use them without restriction or compensation, provided we do not publicly identify you without permission.

Service changes and availability

We may improve, modify, suspend, or discontinue all or part of the Services. We may update software automatically where the platform permits. We do not guarantee that the Services will be uninterrupted, error-free, compatible with every Word configuration, or available in every location.

Suspension and termination

You may stop using Co-grader at any time. Rubrix may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay amounts due, or misuse the Services. Sections that by their nature should survive termination, including ownership, disclaimers, limitations, and responsibility for prior use, will survive.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." RUBRIX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RESULTS. RUBRIX DOES NOT WARRANT THAT AI OR DETECTION OUTPUT IS CORRECT OR SUITABLE FOR A PARTICULAR EDUCATIONAL DECISION. Some jurisdictions do not allow certain disclaimers, so some of these terms may not apply to you.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUBRIX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST DATA, REVENUE, PROFITS, GOODWILL, OR EDUCATIONAL OPPORTUNITY, ARISING FROM THE SERVICES. RUBRIX'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID RUBRIX FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100. These limitations do not apply where prohibited by law.

Changes to these Terms

We may update these Terms as the Services or law changes. We will post the revised Terms at this address and update the effective date. If a change materially affects your rights, we will provide additional notice when required. Continued use after the revised Terms take effect means you accept them.
